Terms and conditions and licence agreement (EULA)
Draft: until K and T Consulting Ltd is registered and the text has been reviewed by a lawyer, these terms are not final.
The supplier is K and T Consulting Ltd (the Supplier). The Sonavis software is the Supplier's property; for the term of the licence the customer receives a non-exclusive, non-transferable right of use.
A licence is per installation and per year, for the number of sources bought (one source is one channel, whatever its type). The licence file is bound to one installation id and is verified without internet access; it cannot be used on another installation.
A registered user may request one free 30-day trial licence of at most 16 sources per installation. During the trial the software works with every function; the trial is not meant for production use and the Supplier gives no warranty for it.
Without a licence, or after it has expired, the software runs in View mode: live view, playback and export keep working, no new recordings are made and no source can be added. Expiry deletes no recording, user or setting; the retention clean-up pauses while the licence is expired.
During the term of the licence the customer is entitled to every update released. Versions released after the licence has expired are not covered; the installed version keeps working until the licence ends.
The price is that of the price list published on the portal; extending a licence during its term costs the time-proportional difference. The Supplier invoices after the order and issues the licence file once payment has been received.
The customer is responsible for recording and keeping recordings in line with the laws that apply to them (data protection and retention duties in particular); the software provides the means (retention periods, legal holds, export), the decisions are the customer's.
Circumventing the software's protection (licence checks, signed code), reverse engineering it and distributing it without permission are prohibited and end the licence at once.
Except for intent and gross negligence, the Supplier's liability is limited to the fees paid for the licence concerned in the last 12 months; the Supplier is not liable for lost profit or indirect damage.
Support is provided through the portal's ticket system; response times can be agreed in a separate support (SLA) agreement.
The governing law and the competent court will be set once the company is registered.
